Welcome to Apex Vault Media (hereinafter “the Agency,” “we,” “us,” or “our”). By requesting, hiring, or using any of our digital, design, audiovisual, or web development services, you (hereinafter “the Client” or “you”) agree to comply with and be bound by the following Terms and Conditions of Service. If you do not agree with any part of these terms, you must not hire our services.
Apex Vault Media provides media, design, and development solutions including, but not limited to:
Graphic Design: Event flyers, business presentation posters, and commercial visual identity design.
Animated and Audiovisual Content: Motion flyers, video editing, and video production.
Custom Merchandise: Design and production of custom apparel and promotional items.
Web Development: Development, design, and layout of websites.
Mandatory Upfront Deposit: To begin any project, the Client must pay 50% of the total quoted cost. This initial payment acts as a deposit to reserve time and resources and is strictly non-refundable.
Final Payment: The remaining 50% of the total cost will be charged immediately upon completion of the work. The Agency reserves the right to withhold delivery of final high-resolution files, website access credentials, or physical merchandise until the remaining balance has been paid in full.
For services requiring video or photography production at a specific physical location (on-location), any costs associated with travel, transportation, per diems, parking, and logistics for the Apex Vault Media crew are not included in the base service rate.
These travel expenses will be calculated and explicitly added to the total project budget and must be covered by the Client.
Mandatory Briefing: The Client is responsible for presenting an idea, concept, visual references, or clear guidelines of what they want before work begins.
Projects Without a Defined Idea: If the Client does not provide an initial concept and delegates creative direction to the Agency, the Client must sign off or state their approval in writing (via email or corporate messaging) regarding our proposed solution. Once our proposal is accepted, the Client agrees not to demand drastic concept changes or style complaints after the work has been executed.
Turnaround Times: The standard turnaround time for initial drafts is three (3) business days. This is subject to change depending on the scale, complexity, and type of service hired (e.g., web development or complex video editing), which will be communicated to the Client in writing.
Each project includes a strict limit of three (3) free structural revisions or changes, provided they do not alter the originally approved concept.
Starting from the fourth (4th) revision, any subsequent modification will incur a fixed additional fee of five dollars ($5.00 USD) per applied change, without exception, applicable to all types of services. These additional charges will be reflected in the final invoice.
Apex Vault Media reserves the right to unilaterally terminate and abandon a project at any stage of the process if it is determined that there is an irreconcilable creative incompatibility with the Client, if the Client exhibits unreasonable demands that exceed the scope of the original agreement, or if the Client engages in hostile behavior.
In this exceptional scenario, the Agency will not issue a full refund. Only a minor partial refund will be issued, with the Agency retaining the majority of the paid funds to cover the hours of labor invested, technical resources utilized, and operational costs incurred up to the time of termination.
The Client must respond promptly to requests for feedback, asset delivery (logos, text, access credentials), or approvals.
If the Client fails to respond to the Agency’s communications for a period of five (5) business days, the project will automatically enter an “Inactivity Pause” status. To reactivate the project, the Client must pay a reactivation fee of $25.00 USD.
If the lack of communication or response from the Client exceeds 30 calendar days, the project will be permanently canceled. The Client will forfeit all money invested, and the Agency will be released from any obligation to deliver any drafts, progress, or working materials.
Apex Vault Media expressly reserves the right to amend, modify, update, or replace these Terms and Conditions at any time, partially or in full, for the purpose of mitigating risks, fixing operational vulnerabilities, or adapting to new market incidents and regulations.
Updates to these terms will take effect immediately upon publication on our official channels or website. It is the Client’s responsibility to review these terms periodically. For clients with active projects, material modifications will be notified in advance, and the continuity of service following such notice will constitute tacit acceptance of the new terms.
The Agency is not liable for financial losses, commercial launch delays, or damages arising from the use of the delivered materials.
Copyright ownership of the created works will transfer to the Client only after receiving 100% of the total invoiced balance. The Agency retains the right to showcase the completed work in its professional portfolio, social media, and promotional materials, unless an explicit Non-Disclosure Agreement (NDA) is signed.
These Terms and Conditions are governed by and construed in accordance with the laws of the United States of America and the laws of the State in which Apex Vault Media is incorporated or commercially operates, without giving effect to conflict of law principles. Any legal action or dispute related to these services must be resolved exclusively in the competent courts of said jurisdiction.
